What is the exact prompt?

Run it a week before the review, not an hour:

• "Build a vendor review brief for [vendor], contract renewing [date]. SPEND: every payment to them from Xero for 24 months (total, trend, and each jump with its date). USAGE: from their admin console in my session, licensed seats versus active users in the last 90 days, and which features we actually use versus what our tier includes. INCIDENTS: search [#eng] and [#ops] in Slack and our ticket tracker for outages, degradations or support escalations mentioning them in the last 12 months (date, duration, impact, and how their support handled it)."
• "MARKET: the three closest alternatives, their published pricing at our scale, and one line each on the switching cost: data export, integration rebuild, retraining. Read their pricing pages and docs; where pricing is not published, say 'not published' rather than estimating."
• "Output one page: the numbers table, the three strongest facts in our favor ranked (with the evidence line for each), the two concessions worth asking for besides price, and the one question we should make them answer live. Read-only everywhere; contact no vendor."

Three facts the vendor cannot argue with

"We pay for 80 seats and 41 logged in this quarter." "Their March outage cost us a client demo and their support took nine days." "Competitor X publishes a price 30% under our effective per-seat rate." Each one comes from your ledger, their admin page, or a public pricing page.

The non-price line is where reviews get underplayed. A capped renewal increase, an exit-assistance clause, upgraded support at the current price, co-marketing: vendors protect the sticker price and trade the rest. A brief that names two askable concessions turns a discount conversation into a terms conversation.

Why does the incident record change the meeting?

Vendors bet, correctly, that you did not write it down.

An outage in March is a feeling by September, and feelings get talked past. A dated list with durations and support-response times puts the reliability conversation on the record.

It compounds: the second year, the brief includes whether last year's promises were kept. It also cuts both ways, since a vendor with a short, well-handled incident list earns the renewal on the evidence.
